Everyone who uses the Service shall do so after agreeing to these Terms.

  2. "Organization": a unit created by a User on the Service for sharing and managing documents and settings
  3. "Document": text, images and other content that a User creates, imports, edits or publishes on the Service
  4. "Public Site": a web page that displays Documents a User has set to be published so that third parties can view them (including those on a custom domain)
  5. "Reader": a person who views a Public Site or uses the AI Chat
  6. "AI Chat": a feature in which AI generates answers to questions from Readers or Users based on the content of Documents
  7. "API Token": credentials issued for operating the Service from external tools through an MCP server or similar means
  8. "Paid Plan": any of the Service's pricing plans that requires payment of a usage fee
  9. "Document Slots": the upper limit on the number of Documents an Organization can create and use, consisting of the slots included in the Paid Plan and slots added by the User ("Extra Document Slots")
  10. "Extra AI Answers": AI Chat answers that a User purchases in addition to the monthly number of AI Chat answers included in a Paid Plan

2. Agreement to and scope of these Terms

  1. Users shall use the Service after agreeing to these Terms. A User is deemed to have agreed to these Terms upon registering an account.
  2. Guidelines, the Privacy Policy and other rules posted by the Company on the Service form part of these Terms.
  3. If a User uses the Service on behalf of a legal entity or other organization, the User represents and warrants that they have the authority to bind that organization to these Terms.

3. Accounts

  1. Users shall provide true and accurate information when registering and shall promptly update it if it changes.
  2. Users shall manage their account, password and API Tokens at their own responsibility, and shall not let third parties use them or transfer or lend them.
  3. Acts performed using an account or API Token are deemed to be acts of the User of that account, except where caused by the Company's intent or negligence.
  4. The Company may decline to approve registration if the applicant has previously violated these Terms or if the Company otherwise considers it inappropriate.

4. Fees and payment

  1. The Service has a plan that can be used free of charge (the Free plan) and Paid Plans. The usage fees and details of each plan (including Document Slots, the number of AI Chat answers, and the fees for Extra Document Slots and Extra AI Answers) are as set out in Pricing plans. Displayed usage fees include consumption tax.
  2. Usage fees for Paid Plans are paid by credit card. Payment is made through the payment provider designated by the Company (Stripe).
  3. Paid Plans are monthly contracts and renew automatically every month based on the subscription date. Users shall pay the first usage fee at the time of subscription, and thereafter the usage fee for each month (including fees for Extra Document Slots and the AI Chat) at each renewal.
  4. Users may change the type of Paid Plan, the AI Chat usage method and the number of Extra Document Slots at any time. If changed in the middle of a month, usage fees are prorated; if the usage fee increases, the User shall pay the difference at the time of the change, and if it decreases, the difference is deducted from the next bill. However, the change cannot be made if there are Documents (excluding archived ones) exceeding the Document Slots after the change, or if the Organization has more Users than the plan after the change allows.
  5. Users may cancel a Paid Plan at any time by the method prescribed by the Company. Even after cancellation, the User may use the Paid Plan until the last day of the paid period, and the plan changes to the Free plan when that period ends.
  6. Extra AI Answers can be purchased by Users of Paid Plans that use the AI Chat with AI provided by the Company. Extra AI Answers are paid in a lump sum at the time of purchase and are valid for 1 year from the purchase date. Expired Extra AI Answers can no longer be used, and unused answers are not refunded. Extra AI Answers are used after the monthly number of answers in the Paid Plan runs out, starting with those that expire soonest.
  7. Usage fees already paid (including fees for Extra AI Answers) are not refunded except as required by law.
  8. On BYOK plans (a method that uses the API key of an AI service registered by the User), fees for the AI service are billed to the User by the provider of that AI service, separately from the usage fees of the Service. The Company is not responsible for those fees.
  9. If payment of a usage fee cannot be confirmed, the payment provider retries the payment for a prescribed period. If payment cannot be confirmed within that period, the Company may cancel the Paid Plan and change it to the Free plan.
  10. If an Organization's Document Slots decrease due to cancellation, non-payment or other reasons, and the number of the Organization's Documents (excluding archived ones) exceeds the Document Slots, the Company may archive (that is, unpublish and make non-editable) the excess Documents, starting with the most recently created. Archived Documents are not deleted, and the User can restore them if Document Slots are available.
  11. The Company may change usage fees. When changing usage fees, the Company will announce the new fees and the effective date on the Service a reasonable period before the effective date.

5. Handling of Documents

  1. Copyright and other rights in Documents belong to the User or the rightful holder. The Company does not acquire any rights in Documents from Users under these Terms.
  2. Users grant the Company, free of charge and to the extent necessary to provide, maintain and improve the Service, permission to reproduce, store, adapt (including converting display formats), publicly transmit, and use Documents for generating AI Chat answers and for search.
  3. Users warrant that they have the rights necessary to create and publish Documents, and that Documents do not infringe the rights of third parties.
  4. Documents that a User has set to be published become viewable by an unspecified number of people on the internet through the Public Site. Users are responsible for deciding whether and to what extent to publish.
  5. The Company has no obligation to back up Documents. Users shall keep their own copies of Documents as needed.

6. AI Chat

  1. AI Chat answers are generated automatically by AI based on the content of Documents, and the Company does not guarantee the accuracy, completeness, timeliness or fitness for a particular purpose of the answers.
  2. Users publish Documents on the premise that Readers will use the AI Chat, and shall inform Readers as necessary that answers are generated automatically.
  3. Questions from Readers and answers by AI are handled in accordance with the Privacy Policy, and the User operating the Documents may be able to view them as question history and analysis results.
  4. To provide the AI Chat, the Company may send questions and the content of related Documents to external AI service providers.

7. Custom domains and external integrations

  1. If a User sets a custom domain for a Public Site, obtaining and maintaining that domain, configuring DNS, and the associated costs are the User's responsibility and expense.
  2. When using features that integrate with external services (Notion, AI assistants and so on), Users shall comply with the terms of those external services. The Company is not responsible for what external services provide or for their defects.
  3. If a User sets up an analytics tool (such as Google Analytics) or other external service on a Public Site, Readers' information is sent from the Public Site to that external service. Users shall, at their own responsibility, notify or publicly announce this transmission to Readers or obtain any necessary consent as required by the Telecommunications Business Act and other laws. The Company is not responsible for the handling of Readers' information by external services set up by Users.

8. Prohibited acts

Users and Readers shall not engage in the following acts when using the Service.

  5. Publishing obscene, violent or discriminatory content or other content the Company considers inappropriate
  6. Using a Public Site for phishing, distributing malware, spam or other purposes of deceiving or harming third parties
  7. Placing excessive load on the Service's servers or network, and sending large numbers of questions or requests to the AI Chat or API by automated means
  8. Unauthorized access to the Service, probing for vulnerabilities, reverse engineering, or other acts that interfere with the operation of the Service
  9. Using the Service for purposes unrelated to the Documents with respect to the AI Chat, or intentionally trying to elicit inappropriate answers
  10. Impersonating other Users or third parties
  11. Reselling or redistributing the Service without the Company's permission
  12. Any other acts the Company reasonably considers inappropriate

9. Suspension of use

  1. If a User violates these Terms or the Company otherwise considers it necessary, the Company may, without prior notice, take measures such as unpublishing or deleting the relevant Documents, stopping the Public Site or AI Chat, or suspending or deleting the account.
  2. The Company is not liable for damages incurred by Users as a result of measures taken under this section.

10. Changes to, suspension and termination of the Service

  1. The Company may change the content of the Service or add or remove features without prior notice to Users.

  3. The Company may terminate the provision of the Service by announcing it on the Service with reasonable advance notice.

11. Leaving the Service

  1. A User who is the owner of an Organization may leave the Service at any time by deleting the Organization from the Organization settings of the Service. When an Organization is deleted, the accounts of all Users belonging to it are also deleted.
  2. Upon leaving, the Organization's Documents and Public Sites can no longer be viewed, and the Paid Plan is canceled immediately. In this case, the portion of paid usage fees corresponding to the remaining period and the fees for unused Extra AI Answers are not refunded, except as required by law.
  3. The Company keeps the Documents, question history and other data of an Organization that has left for 30 days after leaving and then erases them. During the retention period, leaving may be canceled by the method prescribed by the Company. The handling of data included in backups and other details are as set out in the Privacy Policy.
  4. Notwithstanding the preceding paragraph, records of contracts and billing and other information that must be retained by law are kept for the period required by law.

12. Disclaimer of warranties and limitation of liability

  1. The Company does not warrant that the Service will fit a User's particular purpose, have the expected functions, accuracy or usefulness, or be free of defects.
  2. The Company is not liable for damages incurred by Users in connection with the Service, except where caused by the Company's intent or gross negligence.
  3. Notwithstanding the preceding paragraph, even where the Company is liable (including where the Consumer Contract Act applies), except in cases of the Company's intent or gross negligence, the Company's liability is limited to direct and ordinary damages actually incurred by the User, up to the amount of usage fees the User paid to the Company in the one month immediately before the damage occurred.
  4. Disputes between a User and Readers or other third parties shall be resolved at the User's responsibility.

13. Exclusion of antisocial forces

Users represent and warrant that they are not, and will not in the future be, members of organized crime groups or other antisocial forces. If a User violates this, the Company may, without any notice, suspend the User's use of the Service or delete the account.
